1. Purpose and scope
1.1 These Terms of Use (the “Terms”) govern your access to and use of:
(a) our websites, web pages, portals and help centres;
(b) our applications and interfaces used to access our digital services;
(c) our analytics, signals, research, educational and other digital content delivered via the foregoing; and
(d) our support channels, including support chat and file uploads,
(together, the “Site” and “Platform”).
1.2 These Terms apply to visitors and registered users, including users who purchase subscriptions for signals and analytics (“Subscriptions”).
1.3 Trading services are separate. If you apply for and/or use CFD trading services with us, those services are governed by a separate Customer Agreement and related trading disclosures. Trading onboarding may require identity verification and other checks. Nothing in these Terms overrides the Customer Agreement for trading matters.
2. Acceptance, relationship to other documents, and priority
2.1 By accessing or using the Site or Platform, creating an account, purchasing a Subscription, submitting User Content, or contacting support, you agree to be bound by these Terms.
2.2 If you do not accept these Terms, you must not use the Site or Platform.
2.3 These Terms are supplemented by:
(a) our Privacy Policy;
(b) any plan descriptions, pricing pages, product-specific terms, or rules displayed at purchase; and
(c) any additional policies we publish for security, acceptable use, or community/support conduct.
If there is a conflict, the following order applies (highest first): (i) any product-specific or purchase flow terms applicable to a feature, (ii) these Terms, (iii) other policies, except that the Customer Agreement prevails for trading services.
3. Definitions and interpretation
3.1 In these Terms:
- “Account” means a Platform user account used to access digital services (including Subscriptions) and support features.
- “Content” means all materials made available on the Site/Platform, including analytics, charts, insights, watchlists, alerts, research commentary, educational materials, and tool outputs.
- “Digital Services” means the non-trading digital features we provide, including Subscriptions for signals and analytics and any associated dashboards, content libraries, and support features.
- “Subscription” means a paid recurring plan granting access to specified Digital Services for the subscription period.
- “User Content” means any content you upload, send, post, or otherwise provide through the Platform, including files, messages, and support chat submissions.
- “You” means the individual user and, if applicable, the entity on whose behalf the user acts.
3.2 Headings do not affect interpretation. “Including” means “including without limitation”.
4. Platform Account registration (separate from trading onboarding)
4.1 Account creation. You may create an Account to access certain Platform features (including Subscriptions and support) without completing trading onboarding.
4.2 Accuracy. You must provide accurate, complete information and keep it updated.
4.3 Trading onboarding not implied. Creating an Account does not mean you are approved for trading services. Trading capability (if offered) requires separate onboarding under the Customer Agreement and may include verification and regulatory assessments.
5. Security and access controls
5.1 You are responsible for maintaining the confidentiality of your credentials and for all activity conducted through your Account (except to the extent caused by our failure to apply reasonable security measures).
5.2 You must promptly notify us at info@marketsystems.org if you suspect unauthorised access, credential compromise, or suspicious activity.
5.3 We may implement security controls (including multi-factor authentication, device verification, and anomaly detection) and may require you to reset credentials or re-verify access.
6. Permitted use and prohibited conduct
6.1 Permitted use. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Site/Platform for lawful purposes in connection with your personal or internal business use of the Digital Services.
6.2 Prohibited conduct. You must not (and must not attempt to):
(a) use the Site/Platform in breach of law or regulation;
(b) circumvent paywalls, authentication, usage limits, or security controls;
(c) interfere with or disrupt the Site/Platform, including by introducing malware or conducting denial-of-service attacks;
(d) scrape, harvest, mine, or systematically extract Content or data by automated means (including bots, crawlers, or scripts) without our prior written consent;
(e) reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, models, prompts, system logic, or underlying structure of the Platform (except to the extent permitted by mandatory law);
(f) use the Platform to develop, train, test, or improve competing products, services, datasets, or models;
(g) submit User Content that is unlawful, infringing, defamatory, abusive, misleading, or that contains malware or harmful code;
(h) impersonate any person or misrepresent your affiliation; or
(i) use the Platform to provide services to third parties (including reselling, sublicensing, or “service bureau” use) unless we expressly permit this in writing.
6.3 We may monitor and analyse usage to protect the Platform, enforce these Terms, and manage fraud and security risk.
7. Content and “no advice” position
7.1 Information-only. Unless we expressly agree otherwise in writing, Content is provided for general informational and educational purposes only.
7.2 No investment advice. Content (including signals, insights, model outputs, and commentary) does not constitute investment advice, a personal recommendation, or an offer/solicitation to buy or sell financial instruments.
7.3 No reliance. You are responsible for verifying information and for your decisions. You should obtain independent professional advice appropriate to your circumstances.
7.4 Market risk notice. Financial markets are volatile. Past performance (including backtests or hypothetical examples) is not a reliable indicator of future results.
8. Signals, analytics and methodology
8.1 Where the Platform provides trading signals/alerts, analytics, or “insights”, these may be generated using rule-based logic, quantitative models, third-party data, and/or automated systems. Signals may include entries, targets, invalidation levels, or risk references as part of a research-style presentation.
8.2 You acknowledge that any signal or analytics output can be wrong, delayed, incomplete, or unsuitable for your circumstances. You remain solely responsible for how you use the output.
9. AI-enabled features
9.1 The Platform may include features that use automated systems and/or AI to summarise information, highlight patterns, or assist your workflow.
9.2 AI outputs may be inaccurate, incomplete, or contextually inappropriate. You must independently verify any output before acting upon it, particularly where financial decisions are concerned.
9.3 You must not submit confidential third-party information, personal data you do not have rights to share, or sensitive data you do not wish to be processed in accordance with the Privacy Policy.
10. Third-party services, content and links
10.1 The Platform may include third-party content and services (e.g., charts, market data, or news). Third-party services are subject to their own terms and policies.
10.2 We do not control and are not responsible for third-party services, websites, content accuracy, availability, or security. Links are provided for convenience and do not imply endorsement.
11. Subscriptions, billing and payments
11.1 Plans and entitlements. Subscription plans, entitlements, usage limits, and included features are described on the pricing page and/or during checkout. Access is limited to the plan you purchase.
11.2 Billing cycle and auto-renewal. Subscriptions are billed in advance on a recurring basis (e.g., monthly or annually as selected). Unless cancelled before renewal, your Subscription will automatically renew for the same term at the then-current price for the plan.
11.3 Payment methods and processors. You must provide a valid payment method. We may use third-party payment processors. You authorise us (and/or our processor) to charge recurring fees and applicable taxes.
11.4 Trials and promotional pricing. If we offer a free trial or promotional pricing, the terms will be disclosed at sign-up. Unless otherwise stated, trials convert to paid plans at the end of the trial period and will renew automatically until cancelled.
11.5 Price changes. We may change Subscription pricing or plan features. Where a change affects your plan, we will provide notice via the Platform and/or email. Price changes apply from the next renewal unless stated otherwise or required by law.
11.6 Failed payments and suspension. If payment fails, we may retry the charge, suspend access to paid features, and/or downgrade your Account until payment is successfully processed. You remain responsible for outstanding amounts.
11.7 Cancellation. You may cancel a Subscription through your Account settings (where available) or by contacting info@marketsystems.org. Cancellation stops future renewals; you may retain access until the end of the current paid period unless we state otherwise at purchase.
11.8 Refunds. Unless required by law or expressly stated at purchase, fees are non-refundable. We may, at our discretion, provide credits or refunds in limited circumstances (for example, duplicate charges or billing errors).
11.9 Taxes. Prices may be exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes associated with your purchase.
12. Support, support chat, and file uploads
12.1 Support channels. We provide support through channels made available on the Platform, including support chat. Support scope and response times may vary by plan.
12.2 File uploads. You may upload files to support chat. You must ensure uploads:
(a) do not contain malware or harmful code;
(b) do not infringe third-party rights; and
(c) do not include personal data you are not authorised to share.
12.3 Scanning and handling. We may scan uploads for security and may block, quarantine, or delete files that we reasonably believe pose risk or breach these Terms.
12.4 Retention. We may retain support communications and uploaded files for operational, compliance, and dispute-resolution purposes, in accordance with our Privacy Policy and retention practices.
13. Intellectual property
13.1 The Site, Platform, Digital Services and Content (including software, designs, text, databases, research formats, and branding) are owned by or licensed to Market Systems and protected by intellectual property laws.
13.2 Except as expressly permitted, you must not copy, distribute, republish, sell, sublicense, create derivative works from, or otherwise exploit Content.
13.3 Personal/internal use only. Unless we expressly permit otherwise, Content is licensed for your personal/internal use and must not be redistributed (including via social media, paid groups, or signal redistribution services).
14. User Content licence and responsibilities
14.1 You retain ownership of your User Content.
14.2 You grant Market Systems a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, transmit, and use User Content solely to:
(a) provide and operate the Platform and support services;
(b) respond to requests;
(c) enforce these Terms; and
(d) comply with legal and regulatory obligations.
14.3 You represent and warrant that you have all rights necessary to provide User Content and to grant the licence above.
15. Availability, maintenance, and changes
15.1 We may modify, update, suspend, withdraw, or discontinue any part of the Site/Platform/Digital Services, including features, integrations, and supported devices, for security, operational, compliance, or business reasons.
15.2 We do not guarantee uninterrupted availability. Scheduled and emergency maintenance, outages, latency, and third-party failures may occur.
16. Disclaimers
16.1 To the maximum extent permitted by law, the Site, Platform, Digital Services and Content are provided “as is” and “as available”, without warranties of any kind (express or implied), including warranties of accuracy, completeness, timeliness, fitness for purpose, or non-infringement.
16.2 Nothing in these Terms affects any non-excludable statutory rights you may have under applicable law.
17. Limitation of liability
17.1 Nothing in these Terms excludes or limits liability for:
(a) death or personal injury caused by negligence;
(b) fraud or fraudulent misrepresentation; or
(c) any liability that cannot be excluded by law.
17.2 Subject to Clause 17.1, we will not be liable for:
(a) indirect, incidental, special, consequential, or punitive losses;
(b) loss of profit, revenue, business, goodwill, opportunity, or anticipated savings;
(c) loss or corruption of data; or
(d) losses arising from third-party services, market data issues, outages, or events outside our reasonable control.
17.3 Subject to Clause 17.1, our aggregate liability to you arising out of or in connection with these Terms (whether in contract, tort, or otherwise) will be limited to the total Subscription fees you paid to us in the three (3) months immediately preceding the event giving rise to the claim, or £1,000 (whichever is greater).
18. Indemnity
18.1 You will indemnify and hold harmless Market Systems from losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
(a) your breach of these Terms;
(b) unlawful use of the Site/Platform; or
(c) infringement of third-party rights through your User Content or misuse of Content,
to the extent permitted by law.
19. Suspension and termination
19.1 We may suspend or terminate your access to the Platform immediately if we reasonably believe you have breached these Terms, pose a security or legal risk, or if required by law or regulation.
19.2 You may stop using the Platform at any time and may request Account deletion subject to legal, compliance, and operational retention requirements.
19.3 Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will survive.
20. Governing law and jurisdiction
20.1 These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales.
20.2 The courts of England and Wales have exclusive jurisdiction, subject to any mandatory consumer protection rights applicable to you.
